Terms & Conditions
These Terms and Conditions apply to all purchases of goods and/or services by Computerized Cutters, Inc. ("Buyer") from the supplying party ("Seller").
1. Agreement
By shipping goods, acknowledging this Purchase Order, or performing the requested work, Seller accepts these Terms and Conditions. No changes are valid unless made in writing and signed by an authorized Buyer representative. Any different or additional terms in Seller’s documents are rejected. If this Purchase Order is considered an acceptance of Seller’s prior offer, Buyer’s acceptance is conditioned on Seller agreeing to these Terms. These Terms control in any conflict.
2. Warranty
Seller warrants that all goods and materials strictly meet Buyer’s specifications, are free from defects, and are merchantable. This warranty survives inspection, delivery, acceptance, and payment. Buyer may cancel the Purchase Order if the warranty is breached. Any deviations must be approved in writing.
3. Shipment
Time is of the essence. Seller must follow Buyer’s shipping instructions. Buyer may cancel all or part of the order if Seller fails to deliver on time or breaches any term. Unauthorized quantities may be rejected and returned at Seller’s expense. Seller must notify Buyer of shortages or delays.
4. Invoices and Packaging
Invoices, shipping notices, and required test reports must be sent with original shipping documents no later than the day after shipment. Each package must be labeled with Buyer’s order number and contents and include an itemized packing slip. Buyer’s order number must appear on all invoices and shipping notices.
5. Inspection
Delivery is not complete until Buyer inspects and accepts the goods. Seller bears all risk of loss or damage during transit. Buyer may reject goods that are defective or do not meet specifications. If part of a shipment fails inspection, Buyer may cancel the remaining unshipped portion. Acceptance or payment does not waive defects. Both parties agree to cooperate in filing transit damage claims.
6. Price
Prices cannot increase. If Seller lowers its price before shipment, Buyer receives the lower price. If no price is stated, the price will be the lower of Seller’s last quoted price or the current market price. Seller may not charge more without written approval. Seller represents compliance with the Robinson-Patman Act.
7. Extra Charges
No additional charges are allowed unless Buyer agrees in writing beforehand.
8. Cancellation
Buyer may cancel all or part of the undelivered portion at any time without cause and is not liable for lost profits. This does not limit Buyer’s right to cancel for Seller’s default.
9. Compliance with Laws
Seller warrants compliance with all applicable federal, state, and local laws, including safety, environmental, labor, and nondiscrimination requirements. Seller agrees to comply with Executive Order 11246, the Fair Labor Standards Act, and laws protecting veterans and individuals with disabilities.
10. Release
Seller releases Buyer from all claims for injury, death, or property damage arising from performance of this Purchase Order, except where caused by Buyer’s intentional misconduct.
